* IMPORTANT DISCLOSURE AND DISCLAIMER REGARDING THE MATERIALS WE PROVIDE

Crypto Briefing is an Internet based newsletter and publication. Neither SIMETRI Research nor Crypto Briefing is registered as an investment adviser with any federal or state regulatory agency, or with any other governmental body or organization.  To the extent that any portion of the Site content would need to rely upon  an exemption from such registration, Crypto Briefing would rely upon the “publisher’s exclusion” from the definition of “investment adviser” as provided under Section 202(a)(11) of the Investment Advisers Act of 1940 and corresponding state securities laws. To the extent reliance on the publisher’s exemption is necessary, the Site is a bona fide publication of general and regular circulation offering impersonalized investment-related advice to users and/or prospective users (e.g., not tailored to the specific investment portfolio or needs of current and/or prospective users).

The Site is limited to the dissemination of impersonal and objective investment-related information [together with access to additional impersonal investment-related information and links.] The publication of the Site on the Internet and the publication of any content should not be construed by any user and/or prospective user as Crypto Briefing’s (i) solicitation to effect, or attempt to effect transactions in securities over the Internet, or (ii) provision of any investment related advice or services tailored to any particular individual’s financial situation or investment objective(s).

Users do not receive investment advisory, investment supervisory or investment management services, nor the initial or ongoing review or monitoring of the user’s individual investment portfolio or individual particular needs. Therefore, no user should assume that his/her/its use serves as a substitute for individual personalized advice from an investment professional of the user’s choosing. Rather, the Site is designed solely to provide users with a method to evaluate certain investment-related information and trading methodologies/systems.

The user maintains absolute discretion as to whether or not to follow any portion of the Site content. Crypto Briefing does not offer or provide investment implementation services, nor does it offer or provide initial or ongoing individual personalized advice (neither in person nor via the Internet). It remains the user’s exclusive responsibility to review and evaluate the content and to determine whether to accept or reject any Site content.  Crypto Briefing expresses no opinion as to whether any of the Site content is appropriate for a particular user’s investment portfolio, strategy, financial situation, or investment objective(s).

It is the user’s exclusive responsibility to determine if any portion of the investment-related information and trading methodologies/systems on the Site, if any, is suitable or appropriate for his/her financial situation and/or investment objectives, both initially and on an ongoing basis. No current or prospective user should assume that the future performance of any specific investment, investment strategy (including the investments or trading methodologies/systems discussed on the Site) or any other Site content will be suitable or profitable for a user’s portfolio, equal historical or anticipated performance level(s), or prove to be correct.

Different types of investments involve varying degrees of risk, and there can be no assurance that any specific investment will either be suitable or profitable for a user or prospective user’s investment portfolio.  Investments in cryptocurrencies or digital assets such as tokens are particularly risky and speculative investments.

The information contained on this website and Crypto Briefing may include, or incorporate by reference, forward-looking statements, which would include any statements that are not statements of historical fact.  No representations or warranties are made as to the accuracy of such forward-looking statements.  Any projections, forecasts and estimates contained on this website, our reports, or newsletters are necessarily speculative in nature and are based upon certain assumptions.  These forward-looking statements may turn out to be wrong and can be affected by inaccurate assumptions or by known or unknown risks, uncertainties and other factors, most of which are beyond our control.  This may include misrepresentations by the project teams, faulty due diligence, or the vagaries and volatility of the nascent cryptocurrencies market and early use stages of blockchain technology.  It can be expected that some or all of such forward-looking assumptions will not materialize or will vary significantly from actual results.

RELEASE: Each user or prospective user acknowledges and accepts the limitations of the Site and Crypto Briefing and agrees, as a condition precedent to his/her/its access to the Site, to release and hold harmless Decentral Media Inc., its members, officers, directors, owners, employees, advisors, affiliates, and agents from any and all claims and adverse consequences resulting from his/her/its use, including, but not limited to, losses resulting from the user’s implementation of any of investment-related information, recommendations and/or trading methodologies/systems.

DISCLAIMER OF WARRANTIES

The Services, and any content obtained or accessed through the Services, including without limitation third party content, is provided "as is" without representations or warranties of any kind, either express or implied.  To the fullest extent permissible pursuant to applicable law, Crypto Briefing, its officers, directors, employees, subsidiaries, affiliates, suppliers, advertisers, and agents disclaim all warranties, express, implied or statutory, including, but not limited to, implied warranties of title, non-infringement, merchantability, and fitness for a particular purpose or use, and all warranties relating to the adequacy, accuracy, timeliness or completeness of any information available through the Services.

Crypto Briefing and its affiliates, suppliers, agents and sponsors do not warrant and accept no liability that Your use of the Services and any content contained therein, including without limitation, third party content, will be uninterrupted, error-free, or secure, that defects will be corrected, or that the Services or the server(s) on which the Services are hosted are free of viruses, worms, malicious code, Trojan horses, malware, or other harmful components. Crypto Briefing and its affiliates, suppliers, agents and sponsors accept no liability for any software downloaded from the Services.  You acknowledge that You are responsible for obtaining and maintaining all telephone, computer hardware and other equipment needed to access and use the Services, and all charges related thereto.  You assume total responsibility and risk for Your use of the Services and Your reliance thereon.  No opinion, advice, or statement of Crypto Briefing or its affiliates, suppliers, agents, members, or visitors, whether made on the site or otherwise, shall create any warranty. Your use of the Site, the content contained therein, and Materials provided through the site, are entirely at Your own risk.  Crypto Briefing and its affiliates, agents and sponsors will not be liable for any informational errors, incompleteness, delays or any actions taken in reliance on information contained in the Services.

THIRD PARTY SITES

All information regarding opportunities on third party crowdfunding sites is only intended for and accessible to accredited investors.  Accredited investors need to sign in on these third party sites using their own, unique username and password.  Without signing in, users and other visitors will only be able to see limited information regarding the third party crowdfunding platform and investment opportunities that are already closed.  The username and password intend specifically to prevent the general public from receiving information about active capital raises.

Your correspondence or business dealing with or participation in the opportunities found on or through the Site, including an investment in such an opportunity, and any other terms, conditions, and warranties or representations associated with such dealings, are solely between you and such third party crowdfunding site.  You assume all risks arising out of or resulting from your transaction of business over the Internet, and you agree that we are not responsible or liable for any loss or result of the presence of information about or links to such third party sites.  You acknowledge and agree that we are not responsible or liable for the availability, accuracy, copyright compliance, legality, decency or any other aspect of the content, materials and opportunities on or available from such sites or resources.  You acknowledge and agree that your use of these linked sites is subject to different terms of use than these Terms, and may be subject to different privacy practices than those set forth in the Privacy Policy governing the Site.  We do not assume any responsibility for review or enforcement of any licensing requirements that may be applicable to businesses listed on the Site.

All information about the opportunities is provided to us by the third party crowdfunding site owner, or unilaterally added by Crypto Briefing using publicly available information, such as information directly from their website and/or third party websites.  Being listed or mentioned on Crypto Briefing is not an endorsement by us, and We make no representation as to any third party crowdfunding site’s legality and trustworthiness. We may use the word "crowdfunding" not from a legal perspective, but in its broad and commonsense meaning of raising funds from a group of people.

A possibility exists that content available through the Services could include inaccuracies or errors, or materials that violate the TOU.  Additionally, a possibility exists that unauthorized alterations could be made to the content available through the Services by third parties.  Although we attempt to ensure the integrity of our websites and Services, we make no guarantees as to the completeness or correctness of any content available through the Services.  In the event that such a situation arises, please contact us at info@cryptobriefing.com with, if possible, a description of the material to be checked and the location (URL) where such material can be found on our websites, if applicable, as well as information sufficient to enable us to contact You. We will try to address Your concerns as soon as reasonably practicable. For copyright infringement claims, see the section on "Copyright Infringement" below.

INDEMNIFICATION

You agree to indemnify and hold Us and (as applicable) our parent, subsidiaries, affiliates, officers, directors, agents, and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of Your breach of these Terms, Your violation of any law, or Your violation of the rights of a third party, including the infringement by You of any intellectual property or other right of any person or entity. These obligations will survive any termination of the Terms.

Under no circumstances shall Crypto Briefing be held liable for any delay or failure in performance resulting directly or indirectly from acts of nature, forces, or causes beyond its reasonable control, including, without limitation, Internet failures, computer equipment failures, telecommunication equipment failures, other equipment failures, electrical power failures, strikes, labor disputes, riots, insurrections, civil disturbances, shortages of labor or materials, fires, floods, storms, explosions, acts of God, war, governmental actions, orders of domestic or foreign courts or tribunals, or non-performance of third parties.

Privacy Policy

Last revised: June 25th 2019

Crypto Briefing. ("Crypto Briefing") shares your concern about the protection of your personal information online. This is our Privacy Policy regarding the information we collect on the Crypto Briefing Site as such term is defined in the Terms of Use. Please note that this Privacy Policy may change from time to time. If changed, we will post an updated Privacy Policy on this page for your review.  By visiting the Crypto Briefing website, you are accepting the practices outlined in this Privacy Policy.

Our primary goal in collecting personal information is to provide you with a friendly and customized experience. We collect only the personal information that is relevant to the purpose of our site and service. We do not process this information in a way that is incompatible with the purpose for which it has been collected or subsequently authorized by you.

Information Gathered and Tracked by Crypto Briefing

We gather two types of data about our users: Personal information and Tracking information. Here is more information about both:

PERSONAL INFORMATION

Personal information is provided by users when signing up or registering on Crypto Briefing, our free site, when registering as a subscriber to one of our free or premium subscription services, and voluntarily at certain other points, such as entering contests, completing surveys or through any marketing paths.

Registering for Membership on Crypto Briefing:

Currently, we require users to become members of Crypto Briefing in order to have access to Our paid Materials, as such terms are defined in the Terms of Use, and to use certain features, such as our premium email newsletters.

In order to register, you will have to supply us with your email address.

Subscribing to Premium Services

In the future, if you would like access to one or more of our premium subscription-based services, you will need to supply us with the information specified to activate your free trial or paid subscription. This may include credit card or other payment account information which we maintain in encrypted form on our servers.

Other Personal Information Collection:

  • White Papers. We may offer white papers and bonus reports on various investment and financial topics.  In order to download these special reports, you may be required to enter your email address, phone number and/or some additional personal information.
  • Blogs. We may offer blogs featuring running commentary by popular investors. These blogs allow subscribers to respond to a blogger's commentary or to another subscriber's post.  Access to some blogs may require a paid subscription to one of our premium services. We urge and encourage participants posting comments on the blogs to include their full name in any comment and to disclose any investments held in private company securities they discuss in any comment.  Please note that information submitted to the blogs will be available for any user of that service to read, and is no longer private.
  • Surveys/Polls.  At certain times, you may be asked to participate in surveys, which are generally aimed at obtaining general information, for example, your investment experience or your reaction to a particular article or blog post.  Because information obtained in these surveys is connected with individual subscribers and is used internally, participation is voluntary. In addition, some columnists will on occasion take polls of their readers. Such polls are solely for the editorial use of the individual columnists, and participation is voluntary.

TRACKING INFORMATION

Tracking information is automatically collected about all visitors to Crypto Briefing. This information consists of both individual and aggregated tracking information and is automatically gathered using "cookies."  A cookie is a small data file containing information, such as a user's login name, that is written to the user's hard drive by a web server and used to track the pages visited.

We use cookies in several ways to track user behavior.  Cookies store visitors' preferences and past activity on our site and other websites in order to provide better service to our visitors.  The information we gather on an individual basis is used for advertising and internal purposes, such as accessing a member's account information.  We also use tracking information on an aggregate basis, to track the readership of blogs or stories and usage of our products, to analyze traffic patterns on our sites, and to provide anonymous reporting of usage for internal and external clients.  In all cases, cookies used by Crypto Briefing are encoded and contain a unique digital signature to prevent tampering. They do not contain user passwords. We may also employ technology that is commonly referred to as "action tags" (also known as "web beacons," "scripts" or "one pixel .gif files") to measure the effectiveness of certain of our advertisements.

In addition to the cookies described above, Crypto Briefing, its agents, advertisers and third-party advertising vendors that serve ads onto our websites, and other third party partners may use their own or third-party cookies or other tracking technologies for advertising, including delivering targeted advertisements and marketing messages based upon the websites you visit, or other purposes.  We are not and cannot be responsible for the privacy policies or practices of third party advertisers and vendors.

If you are accessing Crypto Briefing, you can control your browser's settings regarding cookies by selecting "Internet Options" or "Preferences" in the menu bar of your browser.  This will allow you to prevent your browser from accepting new cookies, have your browser notify you when you receive a new cookie, or disable cookies altogether. However, because cookies allow you to easily navigate our web sites without having to constantly log in, we recommend that you leave them turned on.  If you are accessing Crypto Briefing through an alternative method, such as a mobile application or third-party content distribution service, you understand that you may not have the ability to disable cookies, depending on the specific access method.
